These terms explain the use of our website, the basis of initial business enquiries and the relationship between website information and separately agreed contracts.
Scope and operator
Digital Vortex LLC operates digitalvortex.cc. These Website Terms explain the intended use of this informational website and the basis on which initial business enquiries are invited. References to we, us and our mean Digital Vortex LLC. Questions about the website should be sent to info@digitalvortex.cc.
These terms concern website use. They do not replace a software development agreement, loan agreement, investment document, confidentiality agreement or other separately agreed contract. Where such a contract governs a particular relationship, its terms govern that relationship, subject to applicable mandatory law.
Our business activities
Digital Vortex combines software engineering and related technology services with investment of the company's own capital. Its financial activities include loans to businesses, listed-share investments through Interactive Brokers, business ownership interests and participation in project revenues.
We do not raise or manage funds for third-party investors. Our lending is exclusively to businesses. The website does not invite visitors to place funds with us for investment or management.
Descriptions of these activities explain our business. They do not establish that any particular opportunity is suitable, available or approved, or that a transaction can proceed in every jurisdiction.
Information and decisions
Website content is general information about what we do and how a discussion may begin. It is not an offer or commitment to provide financing, acquire an interest, invest in a project or deliver a particular software solution. It does not recommend that you buy or sell a particular security.
A financing or investment decision requires consideration of the actual parties, purpose, risks, commercial terms and relevant requirements. Project revenue participation refers to an agreed share of revenue; its calculation and legal structure depend on the contract. Nothing on the website promises a return, repayment outcome or commercial result.
Enquiries and agreements
Contact links open your email application. No message is submitted to us through the website, and opening a draft is not confirmation of receipt. Send your initial enquiry to info@digitalvortex.cc with a concise description of the subject and your role.
An initial email, preliminary discussion or request for further information does not itself amount to acceptance of a proposed engagement. Binding commitments require appropriately authorised agreement on the relevant terms, which may be reached through email correspondence.
Commercial scope, fees, financing terms, conditions and responsibilities belong in the documentation for the relevant transaction.
Confidential materials
Please begin with a non-confidential summary. Do not send trade secrets, source code, identity documents, access credentials or detailed financial records before the scope and method of sharing have been agreed. This helps both parties understand what is being provided and how it should be handled.
Sending an unsolicited initial message does not itself create a confidentiality agreement. If confidentiality arrangements are needed, agree them before disclosure. Existing confidentiality obligations continue to apply; these Website Terms do not override them. The absence of a separate agreement does not remove any duty concerning information that applicable law independently imposes.
Rights in submissions
You retain the rights you hold in the proposals, work samples and other materials you send. Sending an enquiry does not transfer ownership to Digital Vortex or grant a general licence to publish or exploit those materials. We may review and make the copies reasonably needed to assess and respond to the enquiry, subject to the Privacy Policy, applicable law and any separate agreement.
Share only materials you are entitled to provide. Identify material restrictions before disclosure. An unsolicited proposal does not create exclusivity, a right to payment or an obligation for us to pursue the opportunity.
Intellectual property
The website includes text, design, code, images and other materials that may be protected by intellectual-property rights. Digital Vortex and the relevant third-party rights holders retain the rights they hold. References to third-party names or products do not transfer any rights in those names or products.
You may view the website and retain reasonable copies for evaluating a possible business relationship. Do not use our name or branding to suggest an affiliation or endorsement that does not exist. Uses permitted by applicable law remain permitted.

We aim to present our business accurately, but website information may become incomplete or outdated as circumstances change. Please contact us to confirm details material to a proposed engagement.
